Terms of Service

Welcome to Gold & XP. By creating an account or using our services at goldandxp.com (the "Service"), you agree to these Terms of Service ("Terms"). Please read them carefully. If you do not agree, do not use the Service.

1. Who we are

Gold & XP ("we", "us", "our") provides a web-based campaign management tool for tabletop role-playing games, including character tracking, campaign management, world building, blogging, and optional AI-assisted image generation.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and the age of majority in your jurisdiction, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf. The Service is not directed at children under 13 and we do not knowingly collect their data.

3. Your account

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to provide accurate, current, and complete information.
  • You must notify us promptly of any unauthorized use of your account.

4. Subscriptions, payments, and credits

Plans

We offer Free, Premium, and VIP plans. Paid plans renew automatically at the end of each billing period (monthly or yearly) until you cancel. Pricing and feature limits are described on our Pricing page.

Payment processing

Payments are processed by Stripe, Inc. We do not store your full payment card details on our servers. By subscribing, you also agree to Stripe's terms and privacy policy.

Cancellation

You may cancel your subscription at any time from your account settings or via the Stripe Customer Portal. Cancellation takes effect at the end of your current paid billing period; you retain access to paid features until then.

Refunds

Subscription fees are non-refundable except where required by applicable law. Unused time on a cancelled plan is not refunded; however, you keep any AI credits in your account indefinitely. See our Refund Policy.

Upgrades and downgrades

Upgrades take effect immediately and are prorated through Stripe so you are credited for unused time on your previous plan. Downgrades take effect at the end of your current paid period and are not prorated as a refund.

AI credits

Subscription plans include a monthly grant of AI generation credits as described on the Pricing page. You may also purchase one-time top-up credit packs. AI credits never expire and remain in your account even if your subscription is cancelled. Credits have no cash value and are non-refundable except where required by law. Price changes

We may change subscription prices with at least 30 days' notice. New prices apply to your next renewal after the notice period.

5. Acceptable use

You agree NOT to use the Service to:

  • Violate any law or the rights of others.
  • Harass, threaten, defame, or impersonate any person.
  • Upload or generate content that is unlawful, infringing, sexually explicit involving minors, gratuitously violent, or designed to incite hatred or harm.
  • Distribute malware, spam, or attempt to gain unauthorized access to the Service or other accounts.
  • Reverse engineer, scrape, or resell the Service.
  • Use the AI generation features to produce deepfakes of real people without consent, or content that violates the policies of our AI provider.

We reserve the right to suspend or terminate accounts that violate this section, with or without notice depending on severity. See our Acceptable Use Policy and Community Guidelines for more detail.

6. Your content

You retain ownership of all content you create on the Service ("Your Content"), including characters, campaigns, blog entries, images, and messages.

By submitting Your Content, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and distribute it solely as necessary to operate and improve the Service. For content you mark as public (e.g. public campaign pages, blog entries marked published), this license extends to publicly displaying that content to other users and unauthenticated visitors.

You represent that you have the right to submit Your Content and that it does not infringe any third party's rights. See our Copyright / DMCA Policy.

7. AI-generated content

Optional AI image generation is provided through a third-party model ("AI Provider"). By using AI generation, you agree to the AI Provider's content policies and acknowledge:

  • You are responsible for the prompts you submit and the outputs you receive.
  • AI outputs may not be unique and may resemble outputs received by other users.
  • We make no warranty that AI outputs are free of bias, errors, or third-party rights claims.
  • You agree not to claim copyright protection in AI-generated outputs where such claims would be inappropriate under applicable law.

8. Third-party content and tabletop game systems

Gold & XP is an independent tool not affiliated with, endorsed by, or sponsored by Wizards of the Coast LLC, TSR, or any other tabletop RPG publisher. References to game systems, editions, or open game content (e.g. OSRIC) are used in accordance with applicable open gaming licenses or for descriptive purposes only.

9. Privacy

Our handling of your personal data is described in our Privacy Policy, which forms part of these Terms.

10. Service availability and changes

We provide the Service on an "as is" and "as available" basis. We may modify, suspend, or discontinue any feature at any time. We will give reasonable notice for material changes that adversely affect paying subscribers.

11. Termination

You may terminate your account at any time by contacting us. We may terminate or suspend your account if you breach these Terms, fail to pay, or use the Service in a way that creates risk for us or other users. On termination, your right to use the Service ends immediately. We may retain backup copies of Your Content for a reasonable period in accordance with our Privacy Policy.

12. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GOLD & XP BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (b) US $100.

14. Indemnification

You agree to indemnify and hold harmless Gold & XP from any claim, demand, or damages arising out of your breach of these Terms, your violation of any law, or your infringement of any third party's rights.

15. Governing law and disputes

These Terms are governed by the laws of the United States, without regard to its conflict of laws principles. Any dispute will be resolved in the state or federal courts located in that jurisdiction, and you consent to the personal jurisdiction of those courts.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice (e.g. by email or in-app banner) at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
